A nationally recognized, multi-office law firm is seeking a talented Corporate Securities Attorney to join its growing Corporate Practice Group in Princeton, New Jersey. 📋 Key Responsibilities:

• Prepare and file securities documents with SEC, FINRA, NYSE, Nasdaq, and OTC Markets

• Draft registration statements, annual and quarterly filings (10-K, 10-Q, 8-K), and proxy materials

• Advise clients on disclosure requirements, compliance, and risk management

• Lead and support capital markets transactions, including IPOs and private placements

• Counsel clients on corporate governance, fiduciary duties, and regulatory best practices

• Collaborate cross-functionally with legal teams on integrated corporate transactions

• Monitor and interpret evolving securities law developments

✅ Qualifications:

• 5–12 years of corporate and securities law experience

• Strong command of SEC regulations and exchange listing requirements

• Ability to lead multiple high-stakes matters with precision and efficiency

• Exceptional legal writing, analytical, and project management skills

• J.D. from an accredited law school

• Active license to practice law in any U.S. jurisdiction (New Jersey preferred or eligibility to waive in)

• Strong client relationship and service orientation
